The terms that govern access to NeuraFlow's website, automation services, products, consulting, and related workflows.

These Terms of Service govern your access to and use of NeuraFlow, our website, automation services, WhatsApp automation services, chatbot services, marketing workflows, consulting services, NeuraFlow Zap, and related products.

By using NeuraFlow services, you agree to these Terms. If you do not agree, you must not use our services.

About NeuraFlow

NeuraFlow provides AI-first automation services for businesses, including consulting, workflow automation, dashboards, analytics, chatbots, CRM and sales automation, operations and ERP automation, marketing automation, and related products.

NeuraFlow Zap is one NeuraFlow product or service focused on WhatsApp Business Platform workflows, including WhatsApp setup, message templates, customer conversations, marketing campaigns, chatbot workflows, lead qualification, appointment routing, reporting, and human handoff.

NeuraFlow is a brand of NeuraMax Corporation LLP.

Who May Use the Services

You may use NeuraFlow services only if:

  1. You are legally capable of entering into a binding agreement
  2. You are using the services for lawful business purposes
  3. You are authorized to act on behalf of the business you connect to NeuraFlow services
  4. You agree to comply with these Terms, applicable laws, and applicable Meta and WhatsApp policies

You must not use NeuraFlow services on behalf of a business unless you have proper authority to do so.

Client Responsibilities

As a client, you are responsible for:

  1. The accuracy of your business information
  2. The legality of your customer data
  3. Obtaining required customer consent and opt-in
  4. Maintaining proof of opt-in where required
  5. Honoring opt-out and unsubscribe requests
  6. Ensuring your messages are lawful, accurate, and not misleading
  7. Ensuring your products and services are allowed under applicable WhatsApp, Meta, and legal rules
  8. Reviewing and approving message templates before use
  9. Monitoring chatbot responses and automation workflows
  10. Providing a human escalation path for customer support where required
  11. Keeping your account credentials secure
  12. Ensuring your team members use the services properly

You are responsible for all activity under your account.

WhatsApp and Meta Compliance

If you use NeuraFlow Zap or related NeuraFlow services for WhatsApp services, you agree to comply with all applicable WhatsApp and Meta terms, policies, documentation, and requirements.

This includes, but is not limited to:

  1. WhatsApp Business Messaging Policy
  2. WhatsApp Business Terms
  3. WhatsApp Business Solution Terms
  4. Meta Platform Terms
  5. WhatsApp Business Platform documentation
  6. Template message requirements
  7. Opt-in and opt-out requirements
  8. Prohibited business, product, and content rules
  9. Data protection and privacy requirements

You understand that WhatsApp and Meta may review, approve, reject, pause, restrict, or remove access to templates, numbers, accounts, business assets, or messaging features.

Customer Consent and Opt-In

You may contact people on WhatsApp only where you have the required permission, consent, or lawful basis to do so.

You must not upload, import, or message:

  1. Scraped phone numbers
  2. Purchased contact lists without valid consent
  3. Random or guessed phone numbers
  4. People who have opted out
  5. People who have not agreed to receive the type of communication being sent

Contacts collected through misleading or unlawful methods

You must clearly explain to customers what type of messages they may receive, such as order updates, appointment reminders, offers, product recommendations, support replies, or other categories of communication.

  1. Message Templates and 24-Hour Window

You understand that WhatsApp Business Platform has rules for message templates and customer service conversations.

Outside the permitted customer service window, you may send messages only through approved WhatsApp message templates.

Templates must be used only for their approved purpose and must comply with WhatsApp and Meta policies.

We may refuse to create, submit, send, or support any template or message that appears unlawful, misleading, spammy, abusive, or policy-violating.

Prohibited Uses

You must not use NeuraFlow services, products, or workflows to:

  1. Send spam
  2. Send misleading, deceptive, or fraudulent messages
  3. Impersonate another person, business, or brand
  4. Misrepresent your affiliation with any person, business, Meta, or WhatsApp
  5. Harass, threaten, abuse, or exploit people
  6. Send unlawful content
  7. Promote illegal products or services
  8. Promote prohibited or restricted products in violation of WhatsApp, Meta, or applicable law
  9. Send messages to people who have opted out
  10. Use scraped, purchased, or unauthorized contact lists
  11. Collect sensitive personal data unless legally permitted and expressly agreed
  12. Request full payment card numbers, bank account numbers, government ID numbers, passwords, or other sensitive identifiers through chat
  13. Use the services for political campaigns, election-related messaging, or prohibited government/political use
  14. Attempt to bypass WhatsApp, Meta, or NeuraFlow limits or safeguards
  15. Reverse engineer, attack, overload, or disrupt the service
  16. Use the service to build, train, or improve a general-purpose AI model using WhatsApp Business Solution data
  17. Use the service in any way that may harm users, WhatsApp, Meta, NeuraFlow, or the public

AI, Chatbots, and Automation

NeuraFlow services, including NeuraFlow Zap where applicable, may provide chatbot and automation features for business-specific use cases such as FAQs, lead qualification, customer routing, appointment booking, internal summaries, and support workflows.

You are responsible for reviewing chatbot configuration, business knowledge base content, automated replies, and customer-facing responses.

Automation must not be used to mislead customers into believing they are speaking to a human when they are not.

Where required, you must provide a clear escalation path, such as human agent transfer, phone support, email support, web support, or another reasonable support route.

NeuraFlow services are not intended to provide legal, medical, financial, emergency, or professional advice through automated chat.

Data and Privacy

Our collection and use of personal data is described in our Privacy Policy:

Where we process your customer data on your behalf, we do so to provide the services requested by you and according to your instructions, subject to these Terms and applicable law.

You are responsible for providing legally required notices to your customers and obtaining all required permissions and consents.

Third-Party Services

NeuraFlow services may rely on third-party services, including Meta, WhatsApp, hosting providers, analytics tools, AI providers, cloud infrastructure, payment providers, and communication tools.

We are not responsible for failures, downtime, restrictions, policy changes, pricing changes, or actions taken by third-party platforms.

Your use of WhatsApp, Meta, or other third-party services may be subject to their separate terms and policies.

Service Availability

We aim to provide reliable services, but we do not guarantee that NeuraFlow services will be uninterrupted, error-free, or available at all times.

Service may be affected by maintenance, updates, internet issues, third-party platform downtime, WhatsApp or Meta restrictions, security incidents, or circumstances outside our control.

Fees and Payments

Fees, billing cycles, and payment terms will be communicated separately in proposals, invoices, order forms, or written agreements.

Unless otherwise agreed in writing:

  1. Fees are payable in advance
  2. Third-party charges may be billed separately
  3. WhatsApp, Meta, hosting, AI, messaging, or other external charges may change
  4. Late payments may result in suspension of services
  5. Taxes, if applicable, are your responsibility

Intellectual Property

NeuraFlow products and services, including NeuraFlow Zap, software, workflows, designs, documentation, processes, templates, and branding, are owned by us or licensed to us.

You retain ownership of your business data, customer data, brand assets, and content that you provide to us.

You grant us a limited permission to use your data and content only as necessary to provide the services.

Client Content

You are responsible for all content you submit, upload, approve, or send through NeuraFlow services or products, including message templates, campaign content, chatbot content, product information, images, files, and customer communications.

We may refuse, remove, or suspend content that appears to violate these Terms, applicable law, or platform policies.

Confidentiality

Each party may receive confidential business, technical, or customer information from the other party.

Both parties agree to protect confidential information and use it only for the purpose of providing or receiving services, unless disclosure is required by law or authorized in writing.

Suspension or Termination

We may suspend or terminate access to NeuraFlow services if:

  1. You violate these Terms
  2. You violate WhatsApp or Meta policies
  3. You send spam or unlawful messages
  4. You fail to pay fees
  5. Your use creates security, legal, platform, or reputational risk
  6. Your WhatsApp Business Account, business portfolio, or phone number is restricted
  7. We are required to do so by law or platform rules

You may stop using the services at any time. Some obligations, such as payment, confidentiality, data protection, and liability provisions, may survive termination.

Disclaimers

NeuraFlow services are provided on an “as is” and “as available” basis.

We do not guarantee:

  1. Approval by Meta or WhatsApp
  2. Approval of message templates
  3. Delivery of every message
  4. Specific campaign results
  5. Specific revenue, lead, or conversion outcomes
  6. Uninterrupted access to third-party platforms
  7. That automation or AI responses will always be accurate or complete

You are responsible for reviewing important communications before relying on them.

Limitation of Liability

To the maximum extent permitted by law, NeuraFlow, a brand of NeuraMax Corporation LLP, and its products and services will not be liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages.

Our total liability for any claim relating to the services will be limited to the amount paid by you to us for the affected service during the three months before the claim arose, unless applicable law requires otherwise.

Indemnity

You agree to indemnify and hold harmless NeuraFlow, a brand of NeuraMax Corporation LLP, and its products and services from claims, losses, damages, penalties, costs, and expenses arising from:

  1. Your use of the services
  2. Your customer data
  3. Your message content
  4. Your violation of law
  5. Your violation of WhatsApp, Meta, or third-party policies
  6. Your failure to obtain required consent
  7. Your misuse of automation or chatbot features
  8. Your breach of these Terms

Changes to the Services or Terms

We may update the services or these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date.

Continued use of the services after changes means you accept the updated Terms.

Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to applicable law, disputes will be subject to the courts located in Gurugram, Haryana, India.
